Terms of Service
The terms that govern every Vektor Point Advisory engagement, purchase and use of this website.
Important: Please Read Carefully
These Terms include a NO-REFUND POLICY (Section 7), a CHARGEBACK AND PAYMENT DISPUTE PROCEDURE (Section 10), a LIMITATION OF LIABILITY (Section 16), and a BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (Section 21). By engaging our services, paying an invoice, or using this website, you agree to these Terms.
Effective date: October 16, 2026
1. Agreement to These Terms
These Terms of Service (the “Terms“) are a binding agreement between Vektor Point Advisory LLC, a California limited liability company located in San Francisco, California (“Vektor Point,” “we,” “us,” or “our“), and each person or organization that purchases or receives our services or uses our website (“Client,” “you,” or “your“). If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.
You accept these Terms by any of the following: signing or electronically accepting an engagement agreement, proposal or statement of work; checking an acknowledgment box; paying an invoice, deposit or fee; authorizing a charge to a card or account; booking or attending a session; or using this website. If you do not agree, do not purchase our services or use this website.
2. Definitions
- “Services” means all executive coaching, leadership development, advisory, consulting, fractional executive, facilitation, assessment, audit and related services we provide, including executive briefings.
- “Engagement Agreement” means any proposal, engagement letter, statement of work, order form or invoice that describes Services, fees or scope and that you sign, accept or pay.
- “Deliverables” means reports, assessments, roadmaps, frameworks, presentations, templates and other work product we provide.
- “Fees” means all amounts payable for Services, including deposits, retainers, package fees, session fees, expenses and taxes.
- “Refund Policy” means our Refund & Cancellation Policy, which is incorporated into these Terms by reference.
3. Services and Engagement Agreements
The specific scope, schedule, Fees and term of an engagement are described in the applicable Engagement Agreement. These Terms apply to every Engagement Agreement. If an Engagement Agreement signed by both parties expressly conflicts with these Terms, the Engagement Agreement controls for that engagement only; otherwise these Terms control. Work outside the agreed scope requires a written change order and may involve additional Fees.
We may assign Services to qualified advisors of our choosing. Engagement timelines are good-faith estimates and depend on your timely cooperation.
4. Nature of Services; No Guarantee of Results
- Advisory only. Our Services consist of professional advice, coaching, facilitation and recommendations. You and your organization retain sole authority and responsibility for all business, management, personnel, financial and operational decisions, and for whether and how to implement any recommendation.
- No guarantee. WE DO NOT GUARANTEE ANY PARTICULAR RESULT, including any increase in revenue, profit, efficiency, valuation, performance, promotion, retention or other outcome. Any targets, examples, case discussions, ROI estimates or projections are illustrative and are not promises or warranties.
- Not other professional advice. Vektor Point is not a law firm, accounting firm, investment adviser, broker, insurance provider or licensed mental-health provider. Our Services are not legal, tax, accounting, investment, securities, actuarial, medical or psychological advice or therapy. You should consult appropriately licensed professionals for those matters.
- Coaching is not therapy. Executive coaching is a professional development service. If you are experiencing a mental-health concern, please seek a licensed professional.
5. Client Responsibilities
You agree to: (a) provide accurate, complete and timely information, access to relevant personnel, and decisions needed for the engagement; (b) attend scheduled sessions on time and prepared; (c) designate a primary point of contact; (d) maintain respectful, lawful and professional conduct toward our advisors; and (e) ensure that information you share with us may lawfully be shared. Delays or deficiencies caused by you do not reduce Fees owed and may extend timelines.
6. Fees, Payment and Billing
- Payment in advance. Unless your Engagement Agreement states otherwise, Fees are due in advance, before a session, before work on a Deliverable begins, or at the start of each retainer billing period.
- Payment methods and authorization. We accept payment by credit or debit card, ACH and wire transfer, and may use third-party payment processors. If you provide a card or account for recurring or installment payments, you authorize us to charge it for all Fees as they become due under your Engagement Agreement until you cancel in accordance with the Refund Policy. You agree to keep payment information current.
- Invoices. Invoiced amounts are due upon receipt unless the invoice states otherwise. If you believe an invoice contains an error, you must notify us in writing within ten (10) days of the invoice date; otherwise the invoice is deemed accepted.
- Late payment. Overdue amounts accrue a late charge of 1.5% per month or the maximum rate permitted by law, whichever is lower. We may suspend Services until all overdue amounts are paid. You agree to pay reasonable costs of collection, including collection agency fees and reasonable attorneys’ fees, to the extent permitted by law.
- Expenses. Pre-approved travel and out-of-pocket expenses are billed at cost and are payable in addition to Fees.
- Taxes. Fees exclude taxes. You are responsible for all applicable sales, use and similar taxes, other than taxes on our income.
- Price changes. We may change our prices at any time, but changes will not affect Fees already paid or Fees fixed in an active Engagement Agreement during its current term.
7. NO-REFUND POLICY
ALL FEES ARE NON-REFUNDABLE. ALL SALES ARE FINAL. Once paid, Fees are not refundable, in whole or in part, for any reason, including but not limited to: dissatisfaction with the Services or results; change of mind; change in your business needs, priorities, budget, leadership or ownership; failure to attend, use or complete sessions, hours or Deliverables; late cancellation or no-show; early termination by you; or termination by us for cause.
You acknowledge that our Services are professional services that reserve senior advisor time exclusively for you, involve preparation that begins upon booking or payment, and transfer value as they are performed, so they cannot be returned. The full terms governing delivery, rescheduling, missed sessions, package expiration, recurring billing, cancellation and the sole limited exception for termination by us for our own convenience are set out in our Refund & Cancellation Policy, which forms part of these Terms. You confirm that you reviewed the Refund Policy before making payment.
8. Scheduling, Rescheduling and Missed Sessions
Sessions may be rescheduled once with at least forty-eight (48) hours’ written notice. Sessions cancelled with less notice, and sessions you do not attend within fifteen (15) minutes of the start time, are forfeited and deemed delivered. Workshops, offsites and on-site engagements require fourteen (14) days’ notice to reschedule. Prepaid packages expire as stated in the Refund Policy. Full details are in the Refund & Cancellation Policy.
9. Term and Termination
- Term. Each engagement lasts for the term stated in its Engagement Agreement and, for recurring engagements, renews as stated there and in the Refund Policy.
- Termination by you. You may terminate an engagement as permitted in your Engagement Agreement. Termination stops future Services and future billing only; it does not entitle you to any refund, credit or proration, and all Fees for Services performed, for the current billing period and for any committed minimum term remain due.
- Termination by us. We may suspend or terminate Services immediately on written notice if you fail to pay Fees when due, breach these Terms, initiate a chargeback in breach of Section 10, engage in abusive, harassing, discriminatory or unlawful conduct, or ask us to act unlawfully or unethically. We may also terminate for convenience on written notice, subject to the limited exception in the Refund Policy.
- Effect. On termination, all unpaid Fees for Services performed become immediately due. Sections 4, 6, 7, 10 to 17, 20, 21 and 23 survive termination.
10. Billing Disputes and Chargebacks
- Contact us first. You agree to raise any concern about a charge with us in writing at contact@vektorpointadvisory.com and to give us at least ten (10) business days to resolve it before initiating a dispute with your bank, card issuer or payment processor. We will promptly correct any genuine billing error made by us.
- No chargebacks for delivered services. You agree not to initiate a chargeback or payment dispute for Services that were delivered, made available, forfeited or otherwise provided in accordance with these Terms and the Refund Policy, or on any ground that these Terms or the Refund Policy state is not a basis for a refund.
- Evidence. You agree that we may provide your card issuer, bank or payment processor with your Engagement Agreement, your acceptance of these Terms and the Refund Policy (including acknowledgment records with date, time and IP address), invoices, receipts, session calendars, attendance records, Deliverables, and correspondence, to demonstrate that the charge was authorized and the Services were provided as agreed.
- Consequences. If you initiate a chargeback in breach of this Section, we may suspend all Services and access to Deliverables and materials until it is resolved. To the extent permitted by law, such a chargeback is a breach of these Terms, and you remain liable for all Fees owed plus any chargeback fees, collection costs and reasonable attorneys’ fees we incur. We may report unpaid balances to collection agencies.
- Statutory rights. Nothing in these Terms limits any right you have under applicable law that cannot be waived by contract.
11. Confidentiality
Each party will keep confidential the other party’s non-public business, financial, personnel and strategic information disclosed in connection with an engagement (“Confidential Information“), use it only for the engagement, and protect it with reasonable care. Confidential Information does not include information that is or becomes public through no fault of the recipient, was already known to the recipient, is independently developed, or is lawfully received from a third party. A party may disclose Confidential Information if required by law or court order, after giving reasonable notice where lawful. We may disclose engagement records as needed to respond to a payment dispute under Section 10, to enforce these Terms, or to our legal and financial advisors under a duty of confidentiality. Content discussed in one-on-one coaching sessions will not be shared with your employer or sponsor without your consent, except as required by law or where there is a risk of serious harm, unless your Engagement Agreement provides otherwise.
12. Intellectual Property
We retain all rights in our pre-existing and independently developed methodologies, frameworks (including our Advisory Framework), tools, templates, know-how, training materials and general knowledge (“Vektor Point Materials“). Upon full payment of all Fees, you receive a non-exclusive, non-transferable, perpetual license to use the Deliverables and any Vektor Point Materials embedded in them for your organization’s internal business purposes. You may not resell, publish, distribute, or use them to provide services to third parties without our written consent. Until all Fees are paid, no license is granted.
13. Recording of Sessions
Sessions may not be audio- or video-recorded, transcribed by automated tools, or broadcast by either party without the prior express consent of all participants. California law requires the consent of all parties to record confidential communications.
14. Non-Solicitation
During an engagement and for twelve (12) months afterward, you agree not to directly solicit for employment or engage as an independent contractor any advisor whom we assigned to your engagement, other than through Vektor Point, without our written consent. General job advertisements not targeted at our advisors are not a breach.
15. Disclaimer of Warranties
We will perform Services in a professional manner consistent with generally accepted industry standards. EXCEPT AS EXPRESSLY STATED IN THIS SECTION, THE SERVICES, DELIVERABLES AND WEBSITE ARE PROVIDED “AS IS,” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY OF RESULTS. Your exclusive remedy for any breach of the warranty in this Section is re-performance of the nonconforming Services, as described in the Refund Policy.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) VEKTOR POINT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES, DELIVERABLES, WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) VEKTOR POINT’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES, DELIVERABLES, WEBSITE OR THESE TERMS WILL NOT EXCEED THE FEES YOU ACTUALLY PAID TO VEKTOR POINT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply to liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.
17. Indemnification
You agree to defend, indemnify and hold harmless Vektor Point and its members, officers, advisors and contractors from any third-party claims, losses, damages and expenses (including reasonable attorneys’ fees) arising from (a) your or your organization’s business decisions or implementation of any recommendation, (b) information or materials you provide to us, or (c) your breach of these Terms or violation of law.
18. Independent Contractor
Vektor Point is an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, fiduciary or agency relationship. Our advisors, including fractional executives, act as advisors and do not have authority to bind your organization unless you grant such authority in a separate signed writing, and they are not your officers, directors or employees.
19. Use of This Website
The content of this website is for general information only and is not advice for any specific situation. You may not copy, scrape, reproduce or redistribute website content for commercial purposes, attempt to gain unauthorized access to the website, or use it for any unlawful purpose. Links to third-party sites are provided for convenience and we are not responsible for their content. Our collection and use of personal information is described in our Privacy Policy.
20. Electronic Communications and Signatures
You consent to receive agreements, invoices, receipts, notices and other communications from us electronically, and agree that electronic signatures, click-through acceptances and acknowledgment checkboxes have the same legal effect as handwritten signatures. Notices to us must be sent to contact@vektorpointadvisory.com. Notices to you may be sent to the email address on file and are effective when sent.
21. Dispute Resolution, Arbitration and Governing Law
- Informal resolution. Before starting any formal proceeding, the party raising a dispute must send written notice describing it, and both parties will attempt in good faith to resolve it for at least thirty (30) days. This does not limit Section 10.
- Binding arbitration. Any dispute, claim or controversy arising out of or relating to these Terms, the Services, the Deliverables or the website that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (or, if you are an individual purchasing for personal purposes, its Consumer Arbitration Rules), before a single arbitrator, in San Francisco County, California, or by video conference. Judgment on the award may be entered in any court of competent jurisdiction.
- Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect Confidential Information or intellectual property. We may also pursue collection of undisputed unpaid Fees in any court of competent jurisdiction.
- Class action waiver. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
- Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration agreement, the state and federal courts located in San Francisco County, California have exclusive jurisdiction.
- Attorneys’ fees. In any proceeding to enforce these Terms or collect Fees, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs.
- Time limit. To the extent permitted by law, any claim against Vektor Point must be brought within one (1) year after it arises.
22. Force Majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, such as natural disasters, pandemics, government action, war, terrorism, labor disputes, utility or internet failures, or serious illness of an assigned advisor. Affected sessions will be rescheduled; a force majeure event is not grounds for a refund.
23. General Terms
- Entire agreement. These Terms, the Refund Policy, the Privacy Policy and any Engagement Agreement are the entire agreement between the parties and supersede all prior discussions, proposals and representations about their subject matter. You confirm that you have not relied on any promise or statement not included in them, including any statement about expected results.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms or any engagement without our written consent. We may assign them in connection with a merger, acquisition or sale of our business.
- Headings. Headings are for convenience only. “Including” means “including without limitation.”
24. Changes to These Terms
We may update these Terms by posting a revised version on this page with a new effective date. The version in effect when you sign an Engagement Agreement or make a purchase governs that engagement or purchase, unless you agree otherwise in writing. Continued use of the website after changes are posted constitutes acceptance of the revised Terms for website use.
